Washington Mutual Appeals Ruling On Insider-Trading Claims

Washington Mutual Inc., still reeling from a bankruptcy judge's second rejection of its $7 billion creditor-payment plan, is appealing a ruling that paves the way for its shareholders to pursue insider-trading claims against prominent distressed-debt investors.



The former bank-holding company joins its unsecured creditors and the targeted distressed-debt investors--Appaloosa Management, Aurelius Capital Management, Centerbridge Partners, and Owl Creek Asset Management--in its appeal, which court papers show it filed Tuesday.

Judge Mary F. Walrath of the U.S. Bankruptcy Court in Wilmington, Del., on Sept. 13 not only denied approval of Washington Mutual's Chapter 11 plan for the second time but also allowed Washington Mutual's shareholders to bring insider-trading claims against the investment firms, which bought and sold the company's debt while involved in talks over its plan.

The ruling left Washington Mutual's plan in limbo, but the judge this week ordered the company into mediation over the plan.

The investment firms quickly appealed Walrath's ruling, with Appaloosa, Centerbridge and Owl Creek arguing that it has "no basis in law" and calling the insider-trading claims "baseless speculation." Aurelius said it "did not engage in any improper trading" and called the ruling a "gross injustice."

To be sure, Walrath said in her ruling that she does "find it difficult to draw any conclusions" from the trades, which the investment firms made both before and after participating in confidential restructuring talks. But the ruling does grant shareholders hope that they may be successful in challenging the debt that the investment firms hold, which would remove a key obstacle now blocking the shareholders from recovering any funds under the Chapter 11 plan.

That's because under bankruptcy law, shareholders sit at the bottom of the priority scale governing the order in which companies pay their creditors. If funds run out before the company makes its way down the list, those bottom-ranking creditors are out of luck. But Washington Mutual's shareholders are hoping that by showing the investment firms engaged in insider trading, they can have those firms' claims tossed out, thereby increasing their own shot at getting paid.

Not only are the shareholders unwilling to accept zero recoveries, they're also unwilling to stand by during the appeals. On Tuesday, they filed papers expressing their opposition to the appeals. They also disclosed the possibility of them cross-appealing other components of Walrath's order, including her finding that a settlement struck with key parties in Washington Mutual's case, such as the distressed-debt investors, was reasonable.

The company sought Chapter 11 protection in September 2008 after its federal regulators seized its bank, the biggest bank failure in the U.S.

JPMorgan Chase & Co.  reported its earnings for the third quarter and markets disapproved.  The second largest US bank posted a fall in net income to $4.3 billion ($1.02 per share), compared to $4.42 billion ($1.01 per share) last year.  Shares traded 2% down in pre-market trading, and extended losses to more than 6% once investors digested the earnings report.

Although JPM beat lowered expectations, there are many reasons for investors to be concerned with the entire financial industry .  A deeper analysis reveals that nearly 29 cents of earnings per share came from an accounting trick known as DVA, debit value adjustment.  Due to the bank’s widening credit spreads, accounting rules allow for the adjustment, because in theory a profit would be realized if the bank bought back its debt at a discount.  The DVA adjustment, which does not relate with the fundamental operations of the bank, added a whopping $1.2 billion in net income for the third quarter.  Jamie Dimon, JP Morgan Chairman and CEO explains, “The DVA gain reflects an adjustment for the widening of the Firm’s credit spreads which could reverse in future periods and does not relate to the underlying operations of the company.”  After taking the accounting-gain into consideration, JP Morgan only earned 73 cents per share, well below average estimates of 92 cents per share.  What’s even more troublesome, is that other major banks that are set to release earnings next week are likely to artificially boost earnings with the same adjustment.

As the chart shows below, major banks have little wiggle room to disappoint investors.  Compared to the S&P 500 , all major banks have underperformed this year.

Accounting deception at big banks is not a new issue.  In 2008, big banks pushed Congress to change accounting methods from Mark-to-Market to Mark-to-Model.  Mark-to-Model (also known as Mark-to-Make-Believe) basically allowed banks to avoid large write downs due to the credit bubble busting.  The big banks succeeded in their quest to hide their balance sheet problems.  This uncertainty and deception will continue to push investors away from the big banks .  Barry Ritholtz comments, “Investors do not really have a clear idea of how healthy any of these banks truly are. We do not know the state of their balance sheets. We do not know what their exposures are to mortgages, to Europe, to Greece, etc. They could all be technically insolvent, as far as any investor can tell.”

Going forward, investors will be paying close attention to other major banks using the same accounting tricks this earnings season.  On October 17, both Citigroup and Wells Fargo release earnings, while Goldman Sachs and Bank of America report earnings on October 18.  Morgan Stanley is set to announce earnings on October 19.

Hallo. Ich glaube, dass die Bewertung "witzig" gar nicht böse gemeint ist. So eine Bewertung habe ich auch schon mal gegeben - mangels Alternativen. Der o.a. Beitrag ist nicht "witzig", weil Du ihn eingestellt hast, sondern weil man einfach über die Dummheit von jpm lachen kann und gleichzeitig ko..... könnte. Welche Bewertung ist die richtige? Vielleicht noch "informativ".
Also - "witzig" bringt auf alle Fälle eine  g r ü n e  Bewertung.

Es gibt Leute hier im Board, die am liebsten jeden Beitrag von Anderen mit unint. bewerten würden.
Der Vorrat jedoch ist begrenzt! Da schreitet der automatische MOD ein!
Wenn ich etwas witzig finde, so passt mir das nicht, was gepostet wurde, sonst würde ich ja mit angenehmen sternchen die Sache bewerten, oder aber Fr. eben gar nicht! Sehe ich so. Habe ja einen Thread allein glaube ich auch, da liest aber keiner OT ausser gestern.
