Es klingt zwar etwas vermessen, aber ich bin trotzdem weiterhin am Überlegen ob man nicht die SEC dazu bewegen könnte/müsste WaMu auf die Anti-Short-Liste rauf zu bekommen :-)
Im Moment hängen wir immer noch wie ein Stück Fleisch am Baum um den die Geier kreisen. Immerhin befinden uns wir in einem laufenden Verfahren in dem wohl nun bald überhaupt nichts "klar" zu sein scheint. Allerdings muss man ständig aufpassen wer hier an welcher "Schraube" dreht, und solange die Shorties freie Hand haben wird sich wohl kein "reeler Gegenwert", bestimmt durch den "Markt, einfinden in nächster Zeit...

Interessant ist auch die Tatsache was die Prefs heute so machen, der Markt scheint zumindest nicht die "Meinung" einiger "User" zu teilen...?

The debtors' response is intended to keep in place the plan to vaporize the WMB portion of the WaMu tax group consolidated NOL by transferring WMB to the FDIC, taking with it all of its tax attributes {ref. equity interest, legal as well as factual per the debtor}.

What they are doing is attempting to achieve and seal the process of stripping the NOL tax refunds and NOL tax carryforwards from the estate. The $6B in NOL refunds was already stripped from the estate not by law or regulation; rather by the GSA, where the debtors have used shells from the $4B deposit account mixed with the NOL tax refunds to allocated the JPMC and the FDIC the largest portion of the tax refunds. What % is that? It is the actual amount of WMB's portion of the WaMu tax groups consolidated NOLs. The GSA, via the debtor choosing not fight for the debtors ownership and rights to its tax attributes (Downey, Colonial, Team Financial) and ceding the matter, is the "factual" part of the debtors reference in (4).

That was Part A of the plan. Part B is to seal the deal on the tax attributes carried forward by continuing with the logic that "the GSA intended for the debtor to yield all ownership and rights to it NOL tax refund attributes BUT ALSO ITS NOL TAX CARRYFORWARD ATTRIBUTES." How do they do it? They transfer WMB, the entity, to the FDIC. WMB, upon leaving the WaMu tax group, results in the WMB % of the consolidated NOL "are then lost forever."

It appears that no one wins; but there is one real winner. The US of America, through the US Treasury and the FDIC, has $17B {as noted mathematically correct by Tricadia} of NOLs able to be carried forward that WILL NOT. They, in substance, save 35% of $17B in future tax offsets; a clear and in-substance distribution of almost $6B from the estate to the FDIC WITHOUT A CLAIM BEING FILED.

5. However, in the context of an NOL generated in a taxable year in which the ownership change occurs, a pro-rata portion (based on a daily proration) of such NOL can generally be allocated to the period after the ownership change, free of such annual limitation. The Plan seeks to benefit from this proration rule (in addition to the basic annual allowance).

The debtor is not willing to talk about the WaMu tax group consolidated NOL, the debtor is only talking about the 2010 NOL {upon recognition of the WMI loss on the stock of WMB when transferred to the FDIC}. Read the sentence, "the NOL generated in a year......can be allocated to the period after." They are only talking about the 2010 NOL they are trying to create.

6. As Tricadia acknowledges, under the Plan, because a significant portion of value and voting power of the stock of Reorganized WMI will likely be distributed to the holders of Senior Subordinated Notes and/or PIERS Claims, IRC Section 382(1)(5) is likely to be inapplicable.

For the debtor to know that it is unlikely, the debtor would have to know the current holders of the WMI Senior Subordinated Notes and/or PIERS, when the purchased them and for how much. {I'd like Tricadia to ask for documentation of such, otherwise it would appear the debtor did little discovery for this tax statement}

9. As recognized by Tricadia, the Plan is not dependent on the application of IRC Section 382(1)(5), and the Disclosure Statement explicitly discloses that the Debtors do not anticipate that IRC Section 382(1)(5) will apply.

Again, ditto. Also, IRC Section 382(1)(5) I believe is "assumed to apply unless elected out," and the "not anticipate" should be subject to more that mere words for $6B.

12. First, Tricadia misstates the magnitude of the NOLs that could potentially be
available to the Debtors. As described in the Disclosure Statement, the amount of NOL
potentially available to Reorganized WMI is approximately $5 billion (Disclosure Statement,
§ IX.A.) - and not a range of$5 billion to $18 billion (or higher), as suggested by Tricadia.

13. In fact, the Debtors anticipate having at least such amount, based on the
application of the "proration" rule and the abandonment by WMI of its stock interest in WMB
prior to the Effective Date,6 as well as the amount ofNOLs allowable under the IRe Section 382
annual limitation. If the Effective Date ofthe Plan occurs on or about December 22, 2010, the
"proration" rule would yield an available NOL of at least approximately $100 million

The "application of the proration rule?" Part A - The allocation per the GSA for the tax refunds. The "abandonment of WMI of its stock interest in WMB?" Part B - The allocation of the undisclosed future tax attributes and true NOL of the WaMu tax group to the FDIC by transfer, clear and simple, per the "GSA." "As set forth in the Disclosure Statement," is bukk@#$%. This is what is happening, and it is not disclosed.

Damit schützt du dich vor dauerhafte Schäden, falls mal wieder etwas Unvorhersehbares in deiner Wohnung passiert. :-)))

Here's a 11/2009 Bloomberg article I found that has some history timeline on the Marta, Boilermaker, NO Employees, etc. filing. This is ONE class action suit that originated in August 2008 in Washington State. At one point (12/2008) they dropped their suit against WMI. Looking at it from the Corporate Veil angle, the Subs that issued the pass-through certificates are subs of WMB. Would think WMI is not first in line for liability but JPM & FDIC now. ???

On January 12, 2009, the Boilermakers National Annuity Trust Fund filed a Complaint alleging violations of the federal securities laws against Washington Mutual Bank and other defendants, on behalf of all purchasers of Certificates from certain of the above identified Trusts in the United States District Court for the Western District of Washington (No. 2:09-00037-MJP).

On January 14, 2009, the Boilermakers published notice of their action to investors, which provided a deadline to seek Lead Plaintiff status in that case by March 16, 2009.
