Hallo zusammen,
wie angekündigt habe ich IR gezielt auf das weitere externe Verhältnis der Verbindlichkeiten in Höhe 800 MIO /916 MIO USD der SEAG angeschrieben. Die genannte Summe läuft im internen Verhältnis an SUSHI und von da aus dann weiter bis in MF Holding Struktur.
Um es nochmals allen hier klar zu machen, im internen Verhältnis werden diese Forderungen von SEAG an Sushi und weiter runter in die MF Holdingstruktur im Rahmen des CH11 von Forderungen in Anteile umgewandelt, sprich SEAG verliert den internen Anspruch auf diese Schulden.

I´ve a question regarding the deal made between Steinhoff International and the SEAG Lenders with reference to the recapitilasation of Matress Firm.
I noticed that all Lenders who support the recapitilasation of Matress Firm are coming from the SEAG Lenders side & with reference to the LUA it is planned to handle the indebtness of SEAG within a CVA process starting within next week (in the LUA the initial date of the CVA process is marked with the 19th of October).
As part of the recapitilasation of Matress Firm the SEAG Lenders receive 49,9 % of the MF shares so for me it looks like a kind of DES but as far as Steinhoff International informed the market so far I`ve not noticed a debt relief therefore my question is could the shareholders of Steinhoff International expect a debt relief on the SEAG account from the group of Lenders which received the 49,9 % of the MF shares as compensation?
If my informations are right SEAG has an intercompany liabilty against MF of around 800 Mio in the books. SEAG will lose the liability against MF within the CH11 process but what is the situation for SEAG against the lenders which hold the liabilty with reference to the intercompany liability to MF against SEAG?
In my opinion the sharesholders of Steinhoff International could expect a debt relief from the SEAG lenders with reference to the part of the SEAG debts regarding MF to complete the DES case and to compensate the lost of 49,9 % of the shares of matress Firm.
Please be so kind to answer my question in detail.

The MF transaction is a total package finance deal. In exchange for providing capital the lenders receive 49.9% of the equity.
A number of creditors are providing new financing to the restructured Mattress Firm business to support it as it emerges from the Chapter 11 reorganisation. The equity stake is part of that agreement and reflects their role in providing ongoing support to the business. While the funding is underwritten by a number of Steinhoff Europe AG creditors, the two transactions are not contractually linked. This was an entirely separate process to the European restructuring.

Die Fragestellung war richtig & offen gesprochen brauchen wir aus Sicht eine Steinhoff International Aktionärs auch den genannten Schuldenerlass, wir können nicht im internen Verhältnis den Anspruch auf die genannte Summe aufgeben und im externen aufrecht erhalten.
Der Passus innerhalb der IR Rückmeldung "the two transactions are not contractually linked" lässt mich jedoch weiterhin vermuten (und offen gesprochen auch hoffen, dass der Schuldenschnitt um die obenstehend genannte Summe dann halt im Rahmen des CVA Verfahrens auf Seiten der SEAG erfolgt.
Der selbe Wandlungsprozess von Schulden in Anteile im internen Verhältnis müsste übrigens auch mit Bezug die 2,3 Mrd USD im rahmen des CH11 erfolgen die von Steinhoff Möbel Alpha GmbH an Sushi und von da aus weiter in die MF Holingstruktur geflossen sind, aber hinsichtlich dieses Schuldnerverhältnisses muss ich mich nochmals genau belesen & melde mich dann nochmals dazu.
Schlussendlich wird über diese Wandlung der internen Schulden natürlich MF in Kombination mit den weiteren Optimierungen die unter CH11 erfolgen extremst aufgewertet, jedoch haben wir über den Prozess ja nun mal bekanntermaßen auch deutliche Anteile an der zukünftig, unter der Annahme dass das Ch11 verfahren erfolgreich zu Ende gebracht, sehr profitablen & so gut wie Schuldenfreien MF verloren.
Über diesen Prozess wird MF selbstverständlich auch für potenzielle Käufer wieder sehr interessant und der mögliche am Markt zu platzierende VKP wird auch für SH und somit auch für uns deutlichst attraktiver, aber nochmals damit das Gesamtpaket auch für Steinhoff international und somit auch für uns Aktionäre passt muss aus meiner Sicht auch die Möglichkeit vorhanden sein die genannten 800 Mio auf Seiten der SEAG im Externen Verhältnis zu eliminieren.
Ich bin hochgradig auf den Start des CVA Verfahrens gespannt, die 800 Mio müssen in diesem CVA Prozess verschwinden, ansonsten ist der MF Ch11 Deal mit den Gläubigern leider aus Sicht der Gesellschaft Steinhoff international und somit auch uns "suboptimal".
