Terms
Alliacense will handle licensing & pursue infringement
“In the event that facts or events are discovered or occur which materially reduce the reasonable evaluation of the commercial value of the Project Patents and commercial viability of the Project, and the Parties have not agreed to terminate this Agreement pursuant to Section 4.1 above, then the Parties shall promptly agree to an economically reasonable reduction in the scope of the Project Description and to a proportionate reduction in the Advances of Section 3.2”.This section was hidden from shareholders.SCUMBAGS!
Termination – Alliacense can terminate for cause or without cause. No mention of PTSC’s rights in either section.SCUMBAGS!
Holdharmless – “PDS and PTSC and TPL release, acquit, and agree to hold Alliacense and its representatives harmless with respect to all claims of whatsoever kind or nature related to the preparation, execution, and delivery of this Agreement;”No surprise they made PTSC agree to this given TPL sits on BOTH SIDES OF THE TABLE. SCUMBAGS!
Duration:life of the patents’ enforcability
Before this Agmt
TPL handled licensing
Alliacense handled reverse engineering and licensing/litigation mgmt support.
After this Agmt
Alliacense will handle all aspects: engineering, licensing, pursue infringement & litigation support. But can hire any lawyer it sees fit.
TPL is “removed” from licensing.
THEY’RE NOT DOING A DARN THING DIFFERENT. JUST MOVING THE SHELLS

To me, this wreaks of an agreement that puts the CommAg to rest? Why? Is the CommAg eventually going to disappear in favor of another in perpetuity contract w/ the Lecky’s?? Ohhh wait, Here you go:“This Agreement together with its Exhibits contains the entire agreement between the Parties and supersedes any and all other agreements between them, or between or among Alliacense and/or PTSC and/or TPL relating to the subject matter hereof.”AND IF YOU STILL WEREN’T CONVINCED SEE EXHIBIT 10.9!
Since Alliacense is a TPL entity, there’s little change here. Why do it?What’s the angle?Not sure? Read the darn filing! BOTH ENTITIES HAVE THE SAME DARN ADDRESS!
I see no reason why Alliacense can’t turn around and re-hire TPL to perform the role it was conducting prior to this agreement, BUT now TPL’s activities are one removed from PDS. SCUMBAGS
PTSC still gave the farm away in that it’s an open ended agmt (until patents can’t be enforced) w/ no performance requirements.
“This Agreement shall not constitute, create, or in any way be interpreted as a joint venture, employment relationship, partnership, agency relationship, or business organization of any kind between Alliacense on the one hand and the PDS or PTSC or TPL or Charles H. Moore on the other.” THEN WHAT IS IT?This seems like a defense for Lecky against his creditors.
My best guess:TPL is going under or fears serious repercussions from ongoing litigation. I think there were terms in the CommAg that shifted control to PTSC in the event of BK and this is Lecky’s way of remaining in the deal after the BK…….Another fleecing of investors to the benefit of mgmt and the Lecky’s

Parties:TPL & PTSC
Intent: Agree to hire Alliacense; decide who (PTSC / TPL) will be responsible Alliacense for certain obligations.
Questions/Comments.
Why make this entire agreement confidential? SCUMBAGS!
They are clearly modifying the CommAg in a substantial manner and prefer we not know how. SCUMBAGS!
TPL will maintain it’s role w/ T3 and two others undisclosed.…cuz apparently the mere disclosure of MMP litigation is apparently now top secret. SCUMBAGS!
Add’l Allocations Agmt (7-17-12)
Parties:TPL, PTSC, PDS, ALLIACENSE
Intent:PTSC agress to allocations in addition to the TPL Agmt
No info whatsoever! SCUMBAGS.
Sorry, but this is more of the same we’ve all become accustom to from these SCUMBAGS. If you still support this mgmt team in any way shape or form YOU’RE AN ABSOLUTE FOOL. Lecky is just moving the money from the left hand into the right and Johnson is ALL FOR IT.
