Ja, die tollen Posts von Kekko, Pesche und Getrud fehlen in der Tat. Und dass Hr. Enis einen hohen Unterhaltungswert hat, habe ich ja bereits geschrieben. Wobei er auch mal schrieb, dass wenn der Kurs unter 50 (?) CHF fällt, er sich aus dem Forum zurückziehen würde. Das hat er wohl vergessen.
Zu dem "AMS hat bisher immer geliefert": hm, na ja, nun gut...also ganz offen geschrieben hat AE es ja nicht leicht: erst Corona, dann der Design Out bei Apple, dann Lieferketten, Ukraine, etc.. Es wird also immer schwieriger die einzelnen Faktoren von einander zu trennen. Aber nur mal auf die Übernahme bezogen fällt es mir schwer zu schreiben, dass man hier im Einklang mit dem MasterPlan/der Investoren-Kommunikation liegt:
- AMS wollte ursprünglich 38,50 Euro bieten, bei der letzten Tranche ging AMS bis auf 52,30 Euro
- AMS wollte 100% an Osram, man hat aber nur rund 75% geschafft
- AMS wollte ursprünglich 300 Mio Euro Synergien bis H12022 heben; per 3Q21 lag man erst bei 130 Mio (Zahl wurde mit Q4 gar nicht mehr kommuniziert, oder?)
- Für das Digital-Geschäft hatte man gesagt, dass man schon in 2019 Interessenten hat; jetzt hat man noch immer einiges davon an der Backe
- Transaktion sollte im ersten Jahr nach Closing EpS accretive sein, mE nicht erreicht
- Im zweiten Jahr sollten bereits die Kapitalkosten verdient sein, mE nicht erreicht
- AE wollte einen Teil der Übernahme durch eine große Wandelanleihe durchziehen, hat man dann aber über equity gemacht
- Die Kursentwicklung seit Ankündigung der Übernahme (auch im Vergleich zu Wettbewerbern) muss ich nicht noch mal beschreiben.
stonege, wenn Du also von "4-5 Jahren" schreibst, dann sehe ich das 100%ig genauso und ist mE ein sehr vernünftiger Ansatz, dass man so an das Investment herangeht. Ich würde eben nur ergänzen wollen, dass das anders von AMS avisiert wurde (siehe oben) und zum zweiten ist es eine klare "lessons learned" für die Zukunft, dass man bei solchen Riesen-Mergern sich ganz genau überlegen muss, ob man das als Aktionär mitmachen will. 4-5 Jahre Underperformance, pro-forma Zahlen, Einmalbelastungen, skeptischer Kapitalmarkt, etc. muss/sollte man sich wohl besser nicht geben.

"It's not impossible that Apple consider again AMS for it's Face ID solutions and other sensors, but they weren't for sure that happy with Everke's statement that without them, there would not have been the iPhone X. The CEO came out with some, in appearance haughty statements, more than once, and for AMS the Osram overtake was a step bigger than its leg. I went out with my last medium-term position on 07.29.2019, and since then, I swing-trade with AMS regularly, for that AMS is a cash-cow, in the last 4 years, or even just the last 24 months, it was dead money if you would buy and hold. The CEO's motto is "Go Big or Go Home", he makes around EUR 20M yearly while the stock price is constantly falling and around 40% lower than when he took over the position in March 2016. Some insider-trading investigations happened, not only once since he is CEO. It's maybe time to stick to his motto... And finally, many bought AMS at CHF 50 or over 70 and they didn't sell the way down, now hoping for a trend-change since more than 4 years. The stock lacks trust and conviction. Also, there is no return for investors for too long, and each time in years, the Q-Results although they may be very consistent, are ruined by either some declarations from the management or there is an element that takes away any chance of a return for the investor. The company barely communicate about positive developments (some customers don't allow that certainly but other does and even new product development are not communicated properly), there is simply no fantasy in the share. That said, at this price, fundamentally the company may be interesting, but I guess a change in the management would help the price more than a new contract with a customer."
