"Based upon the above, Blackstone estimates Reorganized WMI could raise up to $115 to $140
million of equity,(2337) and that potential acquisitions would typically earn, based upon historical returns
generated by similar portfolios, an estimated compounded annual rate of return of approximately 8.0% to
12.5%. The present value of the tax savings arising from the utilization of the NOLs, using a 25% to 35%
discount rate, the assumed rate of return an investor would target upon making such an investment, is
estimated to be $15 to $45 million. Blackstone further adjusted the value to reflect the risks associated
with the execution of this hypothetical acquisition strategy, which risks may include the following:
(a) the lack of an existing management team with experience running a stand-alone reinsurance
company;
(b) the nature of Reorganized WMI’s historical business operations in which all reinsurance
assets were sourced solely from Reorganized WMI’s former affiliate (i.e., Reorganized WMI
never independently acquired reinsurance assets);
(c) the uncertainty surrounding the availability of capital;
(d) continued deterioration in Reorganized WMI’s existing mortgage portfolio which may divert
proceeds from new opportunities to cover future losses;
(e) the uncertainty surrounding the availability of portfolios to be acquired; and
(f) IRS scrutiny.
To reflect the risks described above, Blackstone reduced its estimate of the value of the NOLs to
$10 to $25 million. As such, Blackstone estimates the value of Reorganized WMI, including the value of
all potential NOLs, is approximately $135 to $185 million, with a midpoint valuation of $160 million. If
the Debtors’ emergence is delayed beyond October 2011, the value of the NOLs may change to reflect,
among other things, a reduction in the amount of unrestricted NOLs available to shelter taxable income.
Blackstone’s estimated range of Reorganized WMI Value does not constitute a recommendation
to any holder of Allowed Claims as to how such person should vote or otherwise act with respect to the
Modified Plan. The estimated range of Reorganized WMI Value set forth herein does not constitute an
opinion as to fairness from a financial point of view to any person of the consideration to be received by
such person under the Modified Plan or of the terms and provisions of the Modified Plan. The value of an

Hallo Zusammen,
Ich möchte im folgenden Beitrag etwas genauer auf die WMI Assets (Vermögenswerte) eingehen.
Der Sinn eines Insolvenzverfahrens nach Chapter11 ist die Firma zu reorganisieren um durch diesen Prozess einen Mehrwert zu generieren und die Firma zu restaurieren, während ein Chapter7 in der kompletten Liquidation endet. Die Reorganisation hat mitunter den Vorteil, dass der Schuldner sich an den ihm zur Verfügung stehenden Verlustvorträge (NOLs) bedienen kann. Durch die Reorganisation werden neue Aktien emittiert. Creditors haben dann, (nebst Aktionären - sollten ausreichend Assets vorhanden sein) oftmals die Wahl zwischen (a) einer Cash-Abfindung oder (b) erhalten ihre Recovery in Form von Unternehmensanteile der neuen, reorganisierten Firma.
Anbei ein kleiner Auszug aus dem Buch von Stuart C. Gilson „Creating Value Through Corporate Restructuring: Case Studies in Bankruptcies”:
„In every distressed situation, an investor’s return depends on two key values:
the true value of the firm’s assets (“true value”) and the value of the firm’s assets used in determining payouts to claimholders under the firm’s reorganization or restructuring plan (“plan value”). These two values are almost always different, and an investor’s return can be significantly affected by changes in either value.”
Die Rendite eines Investors in Insolvenz-Firmen hängt in erster Linie von 2 Hauptpunkten ab:
I. Unternehmungs -WERT (“True Value“)
Hierbei handelt es sich um den eigentlichen Wert des Unternehmens. In unserem Fall ist das die Holding selbst, Washington Mutual Inc. Diese Zahlen sind aus den Monatlichen Operating Reports (MORs) ersichtlich. Derzeit beträgt das Vermögen von WMI rund $ 6,8 Milliarden. Rund 2 Drittel (66%) dieses Vermögens besteht aus Cash-Positionen. Des Weiteren wird dieses Vermögen (a) nicht zum Marktwert berücksichtigt, sondern lediglich zum Buchwert und wird (b) nicht durch eine unabhängige Buchhaltungsstelle überprüft.
Um sich ein besseres Bild zu machen, hänge ich jeweils eine detaillierte Auflistung an:
II. Reorganisations -WERT (“Plan Value“)
Hierbei handelt es sich um den generierten Mehrwert des Unternehmens durch die getätigte Reorganisation. In unserem Fall ist das die WMI-Reorg, WMMRC. Der derzeitige Wert der WMI-Reorg liegt bei rund $ 160 Millionen. Nebst diesem Wert kann in unserem speziellen Fall nochmals zusätzlich (Mehr-)Wert ins Estate fliessen, (a) je nach Zinsrate die angesetzt wird (CR/FJR), (b) möglichen Disallowances of Claims infolge Insiderhandel, sowie (c) der immer noch ausstehende Entscheid des DIMEQ-Proceeding.
Nur verhält sich das Ganze bei unserer Washington Mutual etwas anders. In unserem Fall beschränken sich die Asset-Quellen nämlich nicht nur auf obige 2 Punkte. Die wirklich interessanten Baustellen bei Wamu finden wir mit folgenden, weiteren 2 Geldquellen:
III. Umstrittene Vermögenswerte („Disputed Assets“)
In diese Kategorie fallen die ganz grossen Brocken. Hier bewegen wir uns nicht mehr bei 2- oder 3 stelligen Millionenbeträgen, sondern hier geht es um (umstrittene) Vermögenswerte in Milliarden-Höhe. Die ganzen Disputed Assets summieren sich auf ganze $ 33 Milliarden! (s. Grafik)
IV. Wert von Klagen („Claim Assets“)
Auch in dieser Kategorie reden wir von möglichen Asset-Positionen in Milliarden-Höhe. Leider hat der Debtors diese Klage nicht ausreichend bewertet. Stattdessen einigte sich WMI im März mit JPMC/FDIC und wird die Klagen, welche dem Estate mehrere Milliarden einbringen könn(t)en, im Rahmen des GSA’s dann allesamt fallen lassen.
Bei diesen 2 Punkten handelt es sich aber nur um potenzielle Vermögenswerte. Das Global Settlement Agreement (GSA) schliesst diese Baustelle(n) indem (a) die umstrittenen Vermögenswerte untereinander aufgeteilt werden und (b) mit den erteilten Releases die Klagen allesamt fallengelassen werden.
Es gilt daher zu unterscheiden zwischen den Realen- (I + II) und den Potenziellen Vermögenswerte (III + IV).
Nun möchte ich erneut auf Peter Solomon kommen. Die Aufgaben von Solomon bestehen aus folgenden Punkten:
(a) PJSC will advise and assist the Committee in assessing the operating and financial performance of, and strategies for, the Company as of or about the date of the bankruptcy filing in the Case (the „Filing Date“), including reviewing and analyzing the business plans and financial projections prepared by the Company as of the Filing Date, and testing assumptions and comparing those assumptions to historical Copmany and industry trends;
(b) PJSC will advise and assist the Committee in evaluating the Company and its assets and liabilities as of the Filing Date, including valuations proposed by any interested party;
(c) PJSC will advise and assist the Committee in evaluating the claims made in the Case, as well as evaluating tax assets and subsidiary or affiliate values;
(d) PJSC will advise and assist the Committee in developing a solvency analysis of the Company as of the Filing Date;
(e) PJSC will advice and assist the Committee in analyzing the Company’s claims regarding seizure of the Company’s banking affiliates;
(f) PJSC will advise and assist the Committee and Venable in the course of any negotiations with the Company and its creditors and constituencies, including participation in meetings and telephone or video conferences;
(g) If requested, appropriate PJSC personnel will provide testimony with respect to the financial advisory and consulting expert services referenced hereunder, specifically including testimony with respect to valuation issues or in connection with the Committee’s prosecution of any of the foregoing claims; and
(h) PJSC will render such other financial advisory and consulting expert services as my be agreed upon PJSC and the Committee and Venable in connection with the foregoing.

Zur Auffrischung: seit der Genehmigung im Februar 2010 arbeitet PJS und Team als Finanzberater unseres EC’s und hat bisher 2’753 Stunden (Stand per 31.01.11) dem Estate in Rechnung gestellt. Der Hauptfokus legt PJS auf folgende Gebiete:

Seit ich mich in den Mirant-Fall eingelesen habe, bin ich mir absolut sicher, dass wir zu gegebener Zeit Zahlen von Solomon und Team sehen werden, frage mich aber, ob diese Zahlen die Real-Werte (WMI & WMMRC) betreffen oder die potenziellen Vermögenswerte.
Und genau diese Frage ist entscheidend!
Mit den Zahlen der realen Vermögenswerte (I + II) liegt im optimalen Falle eine Recovery für die Vorzugsaktien drin. Diese Baustellen sind einfach zu klein, um die Vorzugsaktien komplett „aufzufüllen“, damit die Stammaktien auch noch ins Geld kommen. Es sei denn, WMI hat tatsächlich Konkursbetrug im grossen Stile begangen, absichtlich Subs nicht bewertet, Cash- und Assetpositionen in Milliardenhöhe unterschlagen. Nach aktuellem Stand fehlen rund $ 500 Millionen, bis das erste Geld ans Equity fliesst. Um die Vorzugsaktionäre und TPS zu bedienen, benötigte es aber gleich nochmals rund $ 7'500 Millionen. Es kann somit jeder selbst die Chancen ausrechnen, wieviel Geld Solomon aus diesen 2 Punkte holen kann, zumal sich bei den 66%- an Cash-Positionen kein Spielraum bezüglich Bewertungen befindet. Dass hier noch noch ein paar Millionen reinfliessen können, halte ich durchaus für möglich. Es ist beinahe unmöglich, aus den ausgeführten Positionen noch an $ 8 Milliarden Realwerte zu gelangen. Es sei denn, wie erwähnt hier lauft die ganz grosse Konkursbetrugsnummer ab! Solomon dürfte hier sicherlich auch noch Licht ins Dunkeln bringen.
Für mich steht jedenfalls fest: um ans richtig grosse Geld zu gelangen müssen wir uns den Potenziellen Vermögenswerten, den Asset-Quellen 3 und 4 widmen. Da uns da aber nach wie vor das GSA im Weg steht, hoffe ich, dass es dem EC gelingt:
(a) entweder den Appeal rechtzeitig und erfolgreich durchzukriegen
(b) die Settlement Noteholder des Insidertrading zu überführen
(c) dem Gericht unter Hilfe von Solomon eindeutige Zahlen und Analysen vorlegt, welche einen Grossteil der Disputed Assets (Assetquelle: 3) klar der WMI zusprechen würde
(d) Beweise in der Hand hält, welche klar für die (erfolgreiche) Weiterverfolgung für die Klagen (Assetquelle: 4) gegen JPMC und FDIC sprechen oder
(e) das komplette GSA kippen zu können (Assetquellen: 3 und 4) mittels eindeutiger Widerlegung von Zahlen (Bad Faith), wie dies im Mirant-Fall passierte.
Wenn letzteres eintreffen sollte, könnte uns, ähnlich wie im Mirant-Fall, ein Valuation-Hearing blühen:
In Chapter 11, the judge can order a full valuation hearing, in which competing experts present and defend their valuations in court.
Übersetzt. In einem Insolvenzverfahren nach Chapter11 kann das Konkursgericht ein umfassendes Valuation-Hearing anordnen, bei welchem konkurrierende (Finanz-) Experten ihre Wertanalysen verteidigen und diejenigen der Gegner widerlegen. (siehe auch Punkt g von Solomon’s Aufgaben).
So sehr ich mir auch ein Valuation Hearing wünsche und eine offene Konfrontation im Gericht zwischen Peter J. Solomon und WMI oder Blackstone (je nach Zahlen die das Hearing dann betreffen würden), glaube ich, dass die Zeit hierzu noch nicht reif ist. Wie schon im Mirant-Fall erwähnt, hat PJS im Mirant-Fall erstmals ganze 16 Monate stillschweigend gearbeitet, bevor er dem Gericht Zahlen vorgelegt hat. An unserem Fall arbeitet PJS erst 13 Monate.
Um abschätzen zu können Wo und vor allem Wie weit wir uns von einem allfälligen Valuation-Hearing entfernt befinden, suchte ich heute nach einer Rechnung von PJS mit einem Hourly Breakdown im Mirant-Case. Leider bin ich bisher nirgends fündig geworden und habe wie erwartet von A. Maxwell auch keine Reaktion auf meine Anfrage erhalten, womit mir nichts anderes übrig bleibt als mich am zeitlichen Faktor zu orientieren. Dennoch habe ich langsam das Gefühl, dass wir uns allmählich in Richtung Valuation bewegen zumal (a) viele Punkte die gemäss Mary Walrath im Disclosure Statement ergänzt werden mussten die Valuation betreffen, (b) Rosen’s Motion das EC untersuchen zu können, eine eindeutige Sprache spricht und ganz klar auf die Zahlen von PJS abzielen um so vielleicht jetzt schon einer Niederlage in einem kommenden Valuation Hearing vorbeugen zu können. Obwohl, gerade habe ich gesehen, dass der fleissige Rosen das Modified Disclosure Statement soeben veröffentlicht hat.
Rosie hat nun also vorgelegt und die von Walrath geforderten Zahlen (nach-)geliefert. Nun ist er angreifbar! Dies könnte vielleicht schon der Startschuss sein für PJS um mit seinen Zahlen rauszurücken und eine Valuation-Schlacht zu starten.

ps: das Mirant-Valuation Hearing hat Solomon damals gegen ganze 3 konkurrierende Financial Advisors gewonnen, - darunter… wen wundert’s, waren auch unsere Freunde von Blackstone, die eine Niederlagen einstecken mussten. Die Odds auf einen erneuten Sieg in einem Valuation-Hearing stehen IMHO gar nicht mal so schlecht ;-)
