Vielleicht liegt es daran, daß es ein etwas kompliziertes Streitthema ist.
Welche und ob und bis wann wer was aus den ACHT verschiedenen P-interests erhält,
ist incl. der mgl. Umwandlungsmöglichkeit m.M.n. ........kompliziert.
Einerseits wurden der jeweilige Prospect gecancelt, die einen sagen, es
-kommt eh nichts, also auch keine interests
-erhalten prefered im Konkursfall keine interests
-ist die Frage ob die Zahlungen nur ausgesetzt waren
-steht in jedem Prospect, daß jederzeit die Interestzahlungen ausgesetzt werden können, hier "R":
"Dividends on the Series R Preferred Stock will be non-cumulative. If for any reason our board of directors does not declare full cash dividends on the Series R Preferred Stock for a quarterly dividend period, we will have no obligation to pay any dividends for that period, whether or not our board of directors declares dividends on the Series R Preferred Stock for any subsequent dividend period."
Diese Dividenden sind also nicht akkumulativ, lt. Prospekt. .....Dazu Ron:
"P's Are Non-accumulative Interest, but perpetual. No $76 a year. The P's traded around $1,300 per share. Why? IMO, the P's had two payments; Performance and Interest.
The $76 in interest has stopped, but the perpetual performance payment continues.
The perpetual performance payment could be around $200 a year. This is 100% their claim and not limited to $1,000 face. Its their property. The Prospectus was only cancelled for the tradeable shares not the ESC P markers."
Bei Sale or Other Disposition heißt es:
"Any gain realized on the disposition of the Series R Preferred Stock or our common stock (including, in the case of conversion, the deemed exchange that gives rise to a payment of cash in lieu of a fractional common share) generally will not be subject to United States federal income tax unless:
§
• the gain is effectively connected with a trade or business of the non-U.S. holder in the United States (and, if required by an applicable income tax treaty, is attributable to a United States permanent establishment of the non-U.S. holder);
• the non-U.S. holder is an individual who is present in the United States for 183 days or more in the taxable year of that disposition, and certain other conditions are met; or
• we are or have been a “United States real property holding corporation” for United States federal income tax purposes. "

Wenn ich dann noch lese, welche Ereignisse alle zu Änderungen führen können für einen P-holder,
klinke ich mich wieder aus, --- und weiß auch nicht, ob und was dieses meinige Post Dir gebracht haben könnte....aber ich zumindestens habe Deine Überlegungen wohl wahrgenommen.
Solange wir bei Grundlegendem rätseln, wie z.B. dem final payment für WMB von JPM, stelle ich daher eher keine unsicheren P-Rechnungen auf.
Nichtdesto...... ein sehr spannendes Thema mit.... ???, die man alle mit ...$$?.... ersetzen könnte.
