The Companies have been informed that one of their ultimate shareholders, Wharfedale Acquisitions I LLP ("Wharfedale"), has made an offer to sell the entirety of its shareholding in the Companies’ indirect holding company, Kelda Holdings Limited ("Holdings"), which shares represent 10 per cent. of the issued share capital of Holdings, to the other shareholders of Holdings in accordance with the terms of the shareholders agreement in relation to Holdings.

The Companies continue to operate in the ordinary course of business and there is no expectation that the sale of Wharfedale's interest in Holdings (if completed) will result in any changes at an operational level at Yorkshire Water.
